About These Terms
These Terms & Conditions ("Terms") govern your use of the Krobyte website at www.krobyte.com("Site") and any services provided by Krobyte ("we", "us", "our"), a solution studio based in Hong Kong. By accessing the Site or engaging our services, you agree to these Terms in full. Where a signed Project Agreement conflicts with these Terms, the Project Agreement prevails.
Services
Krobyte provides digital services including website revamps, software system rebuilds, digital consulting, and ongoing hosting and maintenance ("Hosting & Care"). The specific scope, deliverables, timeline, and fees for any engagement are agreed in a separate written proposal or contract ("Project Agreement") between Krobyte and the client.
Submitting a quotation request or enquiry through this Site does not constitute a contract or commitment by either party. An engagement only begins upon mutual execution of a Project Agreement.
Quotation Requests
Quotations provided by Krobyte are estimates based on the information you supply. All quotations are valid for 30 days from the date of issue unless otherwise stated. Krobyte reserves the right to revise a quotation if the project scope changes or if the information provided is materially inaccurate or incomplete.
Intellectual Property
Unless otherwise agreed in a Project Agreement:
- All deliverables (code, design assets, documentation) are transferred to the client upon receipt of full payment.
- Krobyte retains the right to display completed work in its portfolio and case studies unless the client requests confidentiality in writing.
- All content, branding, and materials on this Site remain the exclusive property of Krobyte and may not be reproduced without written permission.
Payment
Fees, the deposit amount, the payment schedule, and any late payment charge are set out in each Project Agreement. Unless that agreement says otherwise:
- A deposit is payable before work commences, and the balance is due on project completion and prior to final delivery.
- Quoted fees are exclusive of third-party costs such as domains, hosting, licences, paid plugins, stock assets, and payment gateway fees, which are billed to the client at cost or paid by the client directly.
- Invoices are payable by the due date stated on the invoice.
Krobyte reserves the right to pause or withhold delivery of work until outstanding payments are received.
Hosting & Care
Where a Project Agreement includes Hosting & Care, the service is provided on a recurring subscription basis. Unless agreed otherwise:
- Fees are billed in advance for each monthly or annual term and renew automatically until cancelled.
- Either party may cancel by giving 30 days' written notice before the end of the current term. Fees already paid for the current term are not refundable.
- Krobyte may suspend hosting if fees remain unpaid after written reminder, or if the hosted site is used unlawfully or in a way that threatens the security of our infrastructure.
- On cancellation we will provide a copy of the site files and database on request, but we are not obliged to retain any data more than 30 days after the service ends.
Hosting & Care relies on third-party infrastructure and services. We do not warrant uninterrupted or error-free availability, and any uptime target only applies if it is stated expressly in a Project Agreement. Work outside the agreed scope of care, such as new features or redesigns, is quoted separately.
Client Responsibilities
The client agrees to:
- Provide accurate, complete, and timely information required for the project
- Review and provide feedback on deliverables within agreed timeframes
- Ensure they have the rights to any content, assets, or materials supplied to Krobyte
- Not use Krobyte's work for any unlawful, misleading, or harmful purpose
Limitation of Liability
To the fullest extent permitted by law:
- Krobyte's total liability arising from any engagement shall not exceed the total fees paid by the client for that engagement.
- Krobyte is not liable for any indirect, consequential, or incidental loss (including loss of revenue, data, or business opportunity).
- Krobyte is not responsible for third-party services, platforms, or APIs that form part of a delivered solution.
Confidentiality
Both parties agree to keep confidential any non-public information shared during an engagement. This obligation survives termination of any project. Krobyte will not disclose client business details, data, or project specifics to any third party without consent, except as required by law.
Termination
Either party may terminate an engagement by giving 14 days' written notice. In the event of termination, the client is liable for payment of all work completed up to the termination date. Krobyte will deliver all completed work upon receipt of outstanding payment.
Website Use
You agree not to use this Site to:
- Submit false, misleading, or fraudulent information
- Attempt to gain unauthorised access to any system or data
- Transmit spam, malware, or any harmful content
We reserve the right to block access to the Site at our discretion.
Events Outside Our Control
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including outages of third-party platforms or infrastructure, network failures, natural disasters, epidemics, or changes in law. Affected obligations are suspended for the duration of the event, and payment obligations for work already delivered remain due.
Privacy
How we handle personal data submitted through this Site, including quotation requests, is described in our Privacy Policy, which forms part of these Terms.
Governing Law
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. Continued use of the Site after changes constitutes acceptance of the revised Terms.
